- "Engagement" refers to a contracted advisory or consulting assignment between Synthorai and a client.

- "Agreement" refers to these Terms & Conditions together with any signed engagement letter or service agreement.

2. Acceptance of Terms
By accessing this website or engaging our services, you confirm that:
- You are at least 18 years of age or acting on behalf of an organisation with appropriate authority.
- You have the legal capacity to enter into binding agreements.
- Your use of this website and our services will comply with these Terms and applicable laws.
If you are acting on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
3. Service Description
Synthorai provides strategic advisory services to organisations exploring or implementing artificial intelligence initiatives. Our current service offerings include:
- AI Readiness Assessment — a structured evaluation of organisational readiness for AI adoption, delivering a scorecard and prioritised recommendations.
- AI Roadmap & Program Design — development of a multi-phase AI implementation plan aligned with business objectives and organisational capacity.
- AI Program Management & Advisory — ongoing advisory support for organisations executing AI programs, including progress facilitation and stakeholder guidance.
Service availability is subject to consultant capacity and may be restricted based on geographic or regulatory considerations. Synthorai reserves the right to decline engagements at its discretion.
4. User Responsibilities
When using this website, you agree to:
- Provide accurate and truthful information when submitting contact forms or engaging our services.
- Use the website only for lawful purposes and in a manner that does not infringe the rights of others.
- Refrain from attempting to interfere with the website's operation, security, or performance.
- Not use automated tools to scrape, harvest, or extract data from this website without our prior written consent.
- Not misrepresent your identity or affiliation when communicating with us.
During an engagement, clients agree to provide timely access to information, personnel, and materials reasonably required for the delivery of services.
5. Intellectual Property
All intellectual property on this website — including text, design, graphics, frameworks, and methodology documents — belongs to Synthorai or its licensors and is protected by applicable intellectual property laws in Malaysia.
You are granted a limited, non-exclusive, non-transferable licence to access and view this website for personal or internal business purposes. You may not reproduce, distribute, modify, or create derivative works from any website content without our prior written consent.
Deliverables produced during a paid engagement (reports, roadmaps, assessments) are licensed to the client for their internal use upon full payment. Synthorai retains ownership of all underlying methodologies, frameworks, and proprietary tools used in producing deliverables.
6. Payment Terms
Fees for services are stated in Malaysian Ringgit (RM) unless otherwise agreed in writing. Current pricing:
- AI Readiness Assessment — RM 4,800
- AI Roadmap & Program Design — RM 7,500
- AI Program Management & Advisory — RM 5,500 (per engagement phase)
Payment terms, schedules, and invoicing details are specified in individual engagement agreements. Synthorai reserves the right to suspend or withdraw services in the event of non-payment.
Refund Policy: Fees paid for work already commenced are non-refundable. Where an engagement has not yet commenced, cancellation requests submitted in writing at least 5 business days before the agreed start date may be eligible for a full refund. Requests submitted after this period will be assessed on a case-by-case basis.
7. Service Delivery Terms
The scope, timeline, and deliverables for each service engagement are agreed in writing prior to commencement. Synthorai will use reasonable professional care in the delivery of services, but completion timelines are estimates and may be affected by factors outside our control, including client responsiveness and access to information.
Any changes to the agreed scope of work must be documented and may result in adjustments to timeline and fees. Synthorai will not proceed with out-of-scope work without prior written agreement.
8. Confidentiality
Both parties acknowledge that information shared during an engagement may be of a commercially sensitive or confidential nature. Synthorai undertakes not to disclose client confidential information to third parties without prior written consent, except where required by law or professional obligation.
Clients similarly agree to treat any proprietary methodologies, frameworks, or internal documentation provided by Synthorai as confidential and not to share them with external parties without our consent.
9. Disclaimers
This website and all content on it are provided on an "as is" basis. While we take care to ensure accuracy, we make no warranties regarding the completeness, timeliness, or fitness for a particular purpose of any content on this website.
Our advisory services constitute professional opinion and strategic guidance. They do not constitute legal, financial, or technical implementation advice. Clients are responsible for independently evaluating the suitability of our recommendations before acting on them.
We do not represent that any particular business outcome will result from following our recommendations. Results depend on a range of factors within the client's control and outside of it.
10. Limitation of Liability
To the extent permitted by Malaysian law, Synthorai's total liability to you in connection with any engagement shall not exceed the total fees paid by you for that engagement.
We shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profit, revenue, data, business opportunity, or goodwill, even where we have been advised of the possibility of such damages.
We are not liable for any failure to perform our obligations caused by circumstances beyond our reasonable control, including natural disasters, government actions, or technology infrastructure failures.
11. Indemnification
You agree to indemnify, defend, and hold Synthorai and its directors, employees, and advisors harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of this website in violation of these Terms.
- Any inaccurate or misleading information you provided during an engagement.
- Any breach of your obligations under a service agreement.
- Infringement of any third-party rights arising from your actions.
12. Termination
Either party may terminate an engagement by providing written notice in accordance with the terms of the relevant engagement agreement. Where no notice period is specified, 14 calendar days' written notice is required.
Synthorai may suspend or terminate access to our services with immediate effect where a client is in material breach of these Terms or the engagement agreement, or where continued engagement would create a legal or reputational risk.
Upon termination, clauses relating to confidentiality, intellectual property, limitation of liability, and dispute resolution continue to apply.
13. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, the parties agree to first attempt informal resolution through good-faith discussion within 30 days of the dispute arising.
If informal resolution is not achieved, the parties may agree to refer the matter to mediation through the Malaysian Mediation Centre before initiating formal legal proceedings.
Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
14. General Provisions
- Entire Agreement: These Terms, together with any signed engagement letter, constitute the entire agreement between the parties regarding the subject matter herein.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision of these Terms on one occasion does not constitute a waiver of that provision on future occasions.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Synthorai may assign its rights in connection with a business transfer or restructuring.
- Notices: Formal notices should be delivered in writing by email to [email protected] or by post to our registered address.
15. Changes to Terms
We may update these Terms from time to time. We will revise the "Last Updated" date at the top of this page when changes are made. We may also notify significant changes via email where we hold your contact details. Continued use of this website or our services following any update constitutes your acceptance of the revised Terms.
